INTRODUCTION
Welcome to the GrowBizSkills.ca Instructor Program, operated by the Canadian Motorcycle Tourism Association. These Instructor Terms and Agreement ("Agreement") govern your participation as an educator and trainer on our online soft skills training platform.
By applying to become an instructor and licensing our course materials, you agree to be bound by these terms and our commitment to maintaining high-quality educational standards.
INSTRUCTOR LICENSING STRUCTURE
Per-Course Licensing Model
Course License Fee:
- $50 (Canadian dollars) per individual course license
- Each course requires a separate license for instructor use
- License covers in-person, hybrid, and online delivery methods
- No limit on number of times you can deliver a licensed course
Example Licensing Scenarios:
- Want to teach "Leadership Development"? Pay $50 for that course license
- Want to add "Customer Service Excellence"? Pay additional $50 for that course license
- Want to teach 5 different courses? Total cost: $250 ($50 × 5 courses)
- Want to teach all 146 courses? Total cost: $7,300 ($50 × 146 courses)
Payment Methods:
- Credit card (Visa, MasterCard, American Express)
- PayPal for secure online payment
- Corporate invoicing available for educational institutions
- Canadian tax (GST/HST) applied based on instructor location

INSTRUCTOR QUALIFICATIONS
Eligibility Requirements
Professional Credentials:
- Demonstrated expertise in subject matter for licensed courses
- Professional training, teaching, or relevant industry experience
- Commitment to maintaining educational quality standards
- Agreement to uphold GrowBizSkills code of conduct
Application Process:
- Submit instructor application with credentials and experience
- Specify which courses you intend to license initially
- Provide portfolio of training materials or teaching experience
- Complete background verification process
Ongoing Qualifications:
- Maintain current knowledge in licensed course subject areas
- Complete any required instructor training or updates
- Participate in quality assurance reviews
- Maintain professional certifications relevant to course content
AUTHORIZED USE OF LICENSED MATERIALS
Permitted Uses Per Licensed Course
Training Delivery Methods:
- Conduct live in-person workshops and seminars
- Facilitate virtual online training sessions
- Deliver hybrid training combining online and in-person elements
- Provide one-on-one coaching using course materials
Content Adaptation Rights:
- Customize presentation style to match your delivery approach
- Adapt examples and case studies for specific audiences
- Modify exercises to suit participant needs and time constraints
- Add supplementary materials that enhance core content
Attribution Requirements:
- Proper credit must be given to GrowBizSkills in all uses
- Corporate Training Materials source acknowledgment required
- Include copyright notices on all distributed materials
- Use approved GrowBizSkills branding and logos
PROHIBITED USES AND RESTRICTIONS
Unauthorized Activities
Strictly Prohibited:
- Redistribution or resale of raw course materials
- Sharing materials with unlicensed instructors
- Creating competing training platforms using our content
- Removing copyright notices or attribution requirements
Digital Distribution Restrictions:
- No posting of complete course materials online
- No creation of competing online courses using our content
- No sharing of instructor guides with participants
- No unauthorized recording or streaming of materials
Licensing Violations:
- Using unlicensed courses in training delivery
- Exceeding scope of licensed usage rights
- Sharing login credentials with other instructors
- Violating intellectual property terms
GOOD STANDING REQUIREMENTS
Maintaining Active Instructor Status
Professional Conduct Standards:
- Uphold ethical teaching and training practices
- Maintain professional demeanor in all client interactions
- Respect intellectual property rights and licensing terms
- Provide quality educational experiences to all participants
Quality Delivery Standards:
- Use materials in accordance with instructional design
- Maintain accuracy and currency of information presented
- Seek clarification when uncertain about content updates
- Report participant feedback and suggested improvements
Compliance Requirements:
- Follow all applicable laws and regulations in training delivery
- Maintain appropriate professional certifications and insurance
- Respect participant privacy and confidentiality
- Adhere to workplace safety and harassment policies
Good Standing Violations and Consequences
Warning System:
- First violation: Written warning and remediation requirements
- Second violation: Probationary period with monitoring
- Third violation: License suspension or termination
- Serious violations may result in immediate license revocation
Violation Examples:
- Unauthorized use of unlicensed course materials
- Misrepresentation of credentials or qualifications
- Poor quality delivery resulting in participant complaints
- Violation of intellectual property or confidentiality terms
License Termination Process:
- Immediate cessation of use for terminated licenses
- Return or destruction of all licensed materials
- No refund of license fees for terminated courses
- Opportunity to reapply after corrective action period
INSTRUCTOR RESPONSIBILITIES
Pre-Delivery Preparation
Course Preparation Requirements:
- Thoroughly review all licensed course materials before delivery
- Understand learning objectives and key concepts
- Prepare customized examples relevant to participant audience
- Test all technology and presentation equipment
Participant Communication:
- Provide clear course descriptions and learning outcomes
- Set appropriate expectations for course difficulty and time commitment
- Communicate prerequisites and preparation requirements
- Establish professional boundaries and learning environment
Quality Assurance:
- Maintain current knowledge of subject matter
- Stay updated on course material revisions and improvements
- Implement feedback for continuous improvement
- Document participant outcomes and success metrics
REVENUE AND BUSINESS OPPORTUNITIES

Training Session Revenue:
- Instructors set their own rates for training delivery
- No revenue sharing with GrowBizSkills for instructor-delivered sessions
- Direct payment arrangements between instructor and clients

INTELLECTUAL PROPERTY RIGHTS
GrowBizSkills Content Ownership

- Corporate Training Materials licensing agreements apply
- Instructors receive limited use license for specific courses only
- No transfer of ownership or exclusive distribution rights
License Scope and Limitations:
- License applies only to paid courses
- Usage limited to training delivery by licensed instructor
- No sublicensing or transfer of rights to third parties
- License terminates if instructor violates terms or stops payments
Instructor-Created Enhancements
Original Supplementary Content:
- Instructors retain ownership of original additions and enhancements
- GrowBizSkills may request license to use instructor improvements
- Recognition provided for significant contributions to course development
- Separate agreements available for major content development projects
Collaborative Opportunities:
- Participate in course review and update processes
- Contribute industry-specific examples and case studies
- Provide feedback on course effectiveness and participant outcomes
- Potential compensation for substantial content contributions
SUPPORT AND TRAINING
Instructor Development Resources
Initial Instructor Training:
- Orientation to licensed course materials and platform

Ongoing Support Services:
- Regular updates on course material revisions

LICENSING TERMS AND RENEWAL
License Duration and Renewal
Perpetual License Structure:
- One-time $50 payment provides perpetual license for each course
- No annual renewal fees or recurring payments required other than annual membership fee
- License remains active as long as instructor maintains membership in good standing
- Access to course updates and improvements included
License Transfer and Inheritance:
- Licenses are non-transferable between instructors
- Corporate licenses available for training companies with multiple instructors
- Succession planning available for established training businesses
- Estate transfer procedures for deceased instructor licenses
Course Update Policy:
- Licensed instructors receive all course updates at no additional cost
- Notification provided when significant content changes occur
- Transition period allowed for implementing updated materials
- Legacy versions available during transition periods
TERMINATION AND SUSPENSION
License Termination Procedures
Instructor-Initiated Termination:
- 30-day written notice required for voluntary license termination
- No refund of license fees for terminated courses
- Immediate cessation of use required upon termination
- Return or destruction of all licensed materials mandatory
Platform-Initiated Termination:
- Termination for cause (violation of good standing requirements)
- 30-day notice for correctable violations with opportunity to cure
- Immediate termination for serious violations or legal issues
- Appeal process available for disputed termination decisions
Post-Termination Obligations:
- Complete cessation of use of terminated course materials
- Return or destruction of all proprietary content and materials
- Completion of any scheduled training sessions using alternative content
- Continued confidentiality obligations for proprietary information
Reinstatement Procedures:
- Former instructors may apply for license reinstatement
- Review of circumstances leading to termination required
- Demonstration of corrective actions and compliance commitment
- Payment of current license fees required for reinstatement
DISPUTE RESOLUTION
Conflict Resolution Process
Internal Resolution:
- Good faith efforts to resolve disputes directly with instructor support team
- Escalation to instructor program management for complex issues
- Documentation of resolution attempts and outcomes
- Mediation services available for licensing disputes
Formal Dispute Procedures:
- Written notice of disputes required with specific details
- 30-day resolution period for good faith negotiations
- Alternative dispute resolution preferred over litigation
- Governing law: Alberta, Canada
Legal Proceedings:
- Alberta courts have jurisdiction for legal disputes
- Canadian law applies to all licensing agreements
- Reasonable attorney fees may be awarded to prevailing party
- Injunctive relief available for intellectual property violations
MODIFICATIONS TO INSTRUCTOR TERMS
Agreement Updates and Changes
Change Notification Process:
- 60-day advance notice of material changes to licensing terms
- Email notification to all active licensed instructors
- Opportunity to terminate licenses if disagreeing with changes
- Continued use of licenses constitutes acceptance of new terms
Grandfathering Provisions:
- Existing licensed instructors maintain current fee structure for licensed courses
- New license purchases subject to current terms and pricing
- Material changes to usage rights require explicit acceptance
- Emergency changes permitted for legal compliance or safety issues

ACKNOWLEDGMENT AND ACCEPTANCE
By applying to become a GrowBizSkills instructor and purchasing course licenses at $50 per course, you acknowledge that you have read, understood, and agree to be bound by these Instructor Terms and Agreement.
Each course license purchased constitutes acceptance of these terms for that specific course. This Agreement is effective as of July 13, 2025, and governs all instructor licensing relationships with GrowBizSkills.ca operated by the Canadian Motorcycle Tourism Association.
